Terms of Service

These Terms of Service govern your access to and use of the Virginia Ordering System (VOS), an online platform operated by Virginia Food, Inc. for managing wholesale and retail orders of Virginia products. By creating an account or placing an order through VOS, you confirm that you have read, understood, and agreed to be bound by these terms.

If you do not agree with any part of these terms, please discontinue use of the platform. We may revise these terms from time to time. Continued use of the platform after a revision constitutes acceptance of the updated terms.

VOS is intended for the following user types:

• Resellers: Individuals or businesses with a registered Virginia reseller account who order Virginia products in bulk for resale.
• Walk-in Customers: Individual buyers placing direct orders for personal or small-quantity use.
• Store Staff and Administrators: Authorized Virginia personnel who manage orders, inventory, and customer accounts on behalf of Virginia Food, Inc.

You are responsible for maintaining the confidentiality of your account, including your registered phone number and any one-time codes sent to it. Any activity carried out through your account is your responsibility.

To use VOS, you must register with a working Philippine mobile phone number. We use SMS-based one-time passcodes (OTP) to verify your identity at sign-up and at each login. By registering, you confirm that the phone number you provide belongs to you and that you are reachable at it.

You agree to provide accurate, current, and complete information during registration, and to keep your profile updated. Submitting false or misleading information may result in account suspension or termination.

Placing an order through VOS constitutes an offer to purchase Virginia products at the prices and quantities specified in your order. Orders are subject to confirmation by Virginia staff before they are accepted and fulfilled.

VOS supports the following payment methods:

• GCash: Send payment to the GCash account displayed at checkout, then upload a screenshot of the transaction receipt as proof of payment.
• Bank Transfer: Transfer funds to the bank account displayed at checkout, then upload a screenshot of the transfer confirmation as proof of payment.

Payment proof is reviewed by Virginia administrators before an order is confirmed. Orders without verified payment will not be fulfilled. You will receive an SMS notification once your payment has been verified and your order is confirmed.

Delivery options depend on the customer type and location:

• Resellers: Free delivery is available for orders that meet the minimum order threshold and fall within the standard 10 km radius of the assigned Virginia store.
• Walk-in Customers: A flat delivery fee applies for orders within the standard 10 km radius of the chosen Virginia store.
• Beyond Standard Radius: Orders shipped beyond the 10 km radius are coordinated through third-party logistics (3PL) partners. Additional fees apply, and delivery timelines depend on the 3PL provider.

Virginia Food, Inc. is not responsible for delays caused by 3PL partners, weather conditions, or other circumstances outside our control. Estimated delivery dates are provided in good faith and may change.

You may request to cancel an order at any time before it has been confirmed by an administrator. To request a cancellation, contact our support team with your order number.

Once an order has been confirmed and is in the fulfillment process, cancellations are subject to administrator discretion. If a cancellation is granted after payment has been verified, refunds will be processed within 5 to 10 business days through the original payment method.

VOS may offer automatic discounts (such as the standard 6 percent reseller discount) and time-limited promotional codes. Promo codes are non-transferable, may not be combined with other promotions unless explicitly stated, and may be revoked or modified at any time without prior notice.

Virginia Food, Inc. reserves the right to disqualify any account from promotional offers in cases of suspected abuse or violation of these terms.

All content displayed on VOS (including the Virginia logo, product images, branding, copy, layouts, and software code) is the property of Virginia Food, Inc. or its licensors and is protected by Philippine and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without prior written consent.

To the maximum extent permitted by law, Virginia Food, Inc., its affiliates, officers, employees, and partners are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of VOS, including but not limited to lost profits, lost data, business interruption, or delivery delays.

Our total aggregate liability for any claim related to your use of VOS is limited to the value of the specific order giving rise to the claim.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Any dispute arising from or related to your use of VOS shall be resolved exclusively by the courts of Cebu City, Philippines.
